1. scope of application and conclusion of contract
1.1 These General Terms and Conditions apply to all services provided by Hitron GmbH, Altsagenstrasse 24, 6048 Horw (hereinafter "Hitron" or "we"), which are provided under the redbridge-ems brand. This includes in particular EMS services such as validation of technical specifications, BOM kitting, PCB production, assembly, AOI control and functional tests.

1.2 The contract is concluded with our written order confirmation or with the written acceptance of our offer by the customer. Upon conclusion of the contract, these GTC shall be binding for both parties.

1.3 Deviating terms and conditions of the customer shall only be valid if they have been expressly accepted by us.

2. quotations and documentation
2.1 Our offers are non-binding with regard to price, quantity, delivery time and availability, unless expressly agreed otherwise.

2.2 Intellectual property of the customer: The customer provides us with Gerber files, technical parts lists (BOM) and other specifications. Hitron respects the intellectual property of the customer. All data provided by the customer will be treated confidentially and used exclusively for order processing.
If the customer wishes the data to be deleted, it will be deleted after the warranty period has expired at the earliest. Otherwise, the data shall remain stored for the possible production of follow-up orders. The customer may request deletion at any time.
2.3 Intellectual property of Hitron: All documents, process documentation, test reports and know-how created by Hitron remain our intellectual property and may not be copied or passed on to third parties without our written consent.

3. prices, price adjustments and component procurement
3.1 Prices
3.1.1 All prices are quoted in Swiss francs (CHF), net, excluding VAT, for goods ex works 6048 Horw. ESD-compatible packaging will be charged separately at our cost price.

3.1.2 Costs for packaging, freight, insurance, customs duties and other charges shall be borne by the customer, unless expressly agreed otherwise.

3.2 Price adjustments
3.2.1 Material price adjustments: Should material prices increase after order confirmation due to price increases from suppliers, delivery difficulties, currency fluctuations, customs increases, new fiscal burdens or statutory regulations, we reserve the right to make a corresponding price adjustment. The customer will be informed immediately. Increases in the price of materials will be invoiced.

3.2.2 In the event of changes to the order by the customer (quantity, material, specifications, delivery dates) after order confirmation, we shall be entitled to make corresponding price adjustments.

3.2.3 If components have been procured on behalf of the customer and surplus, customised components (e.g. special ICs, connectors) remain at the end of an order or framework agreement that cannot be used elsewhere, we reserve the right to invoice these to the customer.

3.3 Component procurement
3.3.1 Components shall be procured in accordance with the BOM (Bill of Materials) specification provided by the customer.

3.3.2 The following definitions apply with regard to the procurement of components:
A-parts:
Components that must correspond exactly to the specification in the BOM. The manufacturer number and manufacturer specification are the defining factors here. Examples include microcontrollers, memory and other active components as well as standard parts with increased tolerance requirements.

B-parts:
Components that can be freely selected within the specified tolerance. Examples are capacitors and resistors with standard tolerances.

3.3.3 For A and B parts, we prefer procurement via international distributors such as Avnet, EBV Elektronik, Mouser, Digikey or comparable authorised distributors. Alternatively, approved local suppliers in the country of manufacture can be used.

3.3.4 If specified components are not available, we will suggest equivalent alternatives to the customer. The alternative components shall only be procured after written approval by the customer.

3.3.5 The customer bears the risk for the correctness and completeness of the BOM specifications provided by him.

4. terms of payment
4.1 Down payment: When the order is placed, a down payment of 50% of the order value must be made within 10 days. Production preparation and start of production shall take place at the earliest upon receipt of the down payment.

4.2 Final payment: The remaining 50% is due within 10 days of the invoice date.

4.3 Payments are to be transferred without deductions to the bank account specified by us.

4.4 In the event of late payment, we are entitled to charge interest on arrears of 6% per year from the due date without issuing a reminder. We reserve the right to assert further claims for damages.

4.5 Offsetting against counterclaims of the customer or retention of payments is excluded,
unless the counterclaim is undisputed or has been recognised by declaratory judgement.

4.6 In the event of justified doubts about the customer's ability to pay, we shall be entitled to suspend work and withhold further deliveries until sufficient security has been provided. If security is not provided despite a reminder, we may withdraw from the contract and demand compensation.

5. reservation of title
5.1 All deliveries remain our property until full payment has been received.

5.2 The customer authorises us to have the retention of title entered in the official register. The customer undertakes to insure the goods against all risks at his own expense until the transfer of ownership.

6 Delivery times and force majeure
6.1 The usual delivery time is normally 6-7 weeks from order confirmation. Express deliveries with shorter delivery times are also possible on request. Agreed delivery dates are approximate and are subject to timely delivery by our suppliers and the availability of components. They are stated and adhered to to the best of our knowledge, provided that no delays occur for reasons for which we are not responsible.

6.2 The delivery period shall be extended appropriately in the event of:
● Late delivery of customer material or technical documentation
● Subsequent changes to the specifications by the customer
● Delays at our suppliers
● Force majeure (natural disasters, pandemics, war, strike, official orders,
● Energy shortages, transport delays, extreme material bottlenecks)

6.3 Claims for damages due to delayed delivery are excluded unless we are proven to have acted with gross negligence or intent.

7. transfer of benefit and risk
7.1 Benefit and risk shall pass to the customer when the products are made available for collection or when they are handed over to the carrier. This also applies to carriage paid deliveries.

7.2 If delivery is delayed for reasons for which the customer is responsible, the benefit and risk shall pass to the customer on the agreed delivery date.

8. transport, packaging and insurance
8.1 Transport and insurance
8.1.1 Transport ex works 6048 Horw shall be at the expense and risk of the customer, unless expressly agreed otherwise.

8.1.2 Insurance against transport and other damage is the responsibility of the customer.

8.2 Packaging
8.2.1 The packaging shall be carried out according to our standards or according to the customer's instructions and shall be

9. quality standards and audits
9.1 All assemblies are manufactured in accordance with IPC standards and are RoHS-compliant. The manufactured PCBs are electrically tested for continuity and short circuits.

9.2 The scope of services includes AOI (Automated Optical Inspection) for visual inspection of the assembly as standard. We guarantee the correct assembly of the electronic modules in accordance with the technical specification and the data approved by the customer. We are not liable for errors resulting from an incomplete or incorrect specification, such as circuit diagram errors, errors in the PCB layout or BOM errors.

9.3 All other tests such as X-ray tests (e.g. for BGA checks) or functional tests are not included in the scope of services. Extended tests are quoted and invoiced separately. Functional tests require an extended test setup.

9.4 The delivered products are packaged in an ESD-compliant manner.

10. inspection and notification of defects
10.1 The customer must carefully inspect the delivered products immediately upon receipt. Obvious defects (e.g. transport damage, incorrect quantity, visible damage, obvious assembly errors) must be reported in writing within 10 working days of delivery.

10.2 Hidden manufacturing defects (e.g. hidden soldering defects, assembly defects) must be reported in writing within 3 months of delivery after they have been recognised or should have been recognised. The customer is obliged to prove the causal connection between the manufacturing defect and the defect. Hitron reserves the right to request the return of the rejected products for fault analysis.

10.3 If no written notice of defects is given in due time, the delivery shall be deemed to have been accepted in accordance with the contract.

11. warranty
11.1 For defects that are due to material or manufacturing defects on our part, we provide a warranty for a period of 3 months from delivery, provided that the defects were reported in due time in accordance with section 10 and are proven to have been caused by gross negligence on the part of Hitron.

11.2 The warranty shall be provided at our discretion by:
● Reworking of the defective parts
● Replacement delivery
● Credit note for the reduced value

11.3 We shall bear the costs of repair or replacement in our factory. All additional costs (transport, removal and installation, working time at the customer's premises, production downtime) shall be borne by the customer.

11.4 If a complaint proves to be unjustified, all costs shall be borne by the customer.

11.5 Exclusion of warranty: No warranty applies in the case of:
● Defects due to faulty design, specifications or documents provided by the customer (e.g. circuit diagram errors, errors in the PCB layout, BOM errors)
● Natural wear and tear or improper use
● Improper interventions, modifications or repairs by the customer or third parties without our consent
● Non-compliance with operating and maintenance instructions
● Non-compliance with the terms of payment by the customer

11.6 The warranty conditions of the respective manufacturer or supplier shall apply to materials and components provided by the customer.

11.7 Cancellation of the contract (cancellation) is excluded.

12. limitation of liability
12.1 Hitron is only liable for direct damages and only if the customer proves that these were caused by gross negligence or intent on the part of Hitron.

12.2 Liability is limited to the order value of the respective delivery.

12.3 Excluded in particular is liability for
● Production downtime at the customer
● Loss of use
● Loss of orders
● Lost profit
● Indirect consequential damage of any kind
● Damage not caused to the product itself

12.4 These limitations of liability do not apply to personal injury caused by gross negligence or intent.

12.5 We assign any liability claims against our suppliers to the customer.

13. re-export and export regulations
13.1 US export regulations: Certain electronic components are subject to US export regulations (ITAR, EAR). The re-export of certain components manufactured by US companies or foreign companies controlled by US companies is prohibited unless re-export authorisation has been obtained from the relevant US authorities.

13.2 The customer undertakes to comply with all applicable export control, embargo and sanction regulations, in particular:
● US Export Administration Regulations (EAR)
● International Traffic in Arms Regulations (ITAR)
● EU Dual-Use Regulation
● Swiss export control legislation

13.3 The customer shall ensure that the delivered products are not exported to countries or persons/organisations subject to sanctions or embargoes.

13.4 The customer indemnifies Hitron against all claims, fines and damages resulting from violations of export regulations.

14. intellectual property rights
14.1 In the event that the products specified by the customer infringe patent, copyright, trademark or other intellectual property rights of third parties, Hitron assumes no liability.

14.2 The customer indemnifies Hitron against all claims of third parties that are asserted due to the manufacture or delivery of the products specified by the customer.

15 Confidentiality and data protection
15.1 Both parties undertake to keep secret all confidential information received in the course of the business relationship and not to disclose it to third parties.

15.2 Personal data is processed in accordance with the applicable data protection regulations (nDSG, DSGVO).

16 Place of jurisdiction and applicable law
16.1 The exclusive place of jurisdiction for all disputes arising from or in connection with this contractual relationship is the registered office of Hitron GmbH in Horw, Switzerland.

16.2 Swiss law shall apply exclusively to the exclusion of international sales law (CISG/UN sales law).

17 Final provisions
17.1 Amendments and supplements to these GTC must be made in writing.

17.2 Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.

17.3 These GTC apply in the version valid at the time of order confirmation.
